Please read these Terms carefully — they govern your use of Red Bricks OS and the Launchpad dashboard. They include important provisions about billing, your data, MLS listing data, disclaimers, and limitations of liability.

1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and Red Bricks Inc. ("Red Bricks", "we", "us", or "our"), governing your access to and use of Red Bricks OS, the Launchpad dashboard, and our related websites, applications, and services (together, the "Services").

By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

If you are using the Services on behalf of a business or brokerage, you represent that you are authorized to bind that organization, and “you” refers to that organization.

2. Who we are

Red Bricks provides a platform that lets real-estate professionals launch and operate a branded website with pre-construction and MLS listing content, a CRM, branded email, an AI assistant, and a companion mobile app. Launchpad is the dashboard where you sign up, launch your site, and manage your account, domain, and billing.

3. Eligibility

You must be at least 18 years old and able to form a binding contract.

The Services are intended for licensed real-estate professionals and their authorized staff. You are responsible for ensuring your use complies with the rules of your real-estate board, your brokerage, and any applicable laws and regulations.

You may not use the Services if you are barred from doing so under applicable law.

4. Your account

You must provide accurate information and keep it current.

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

You may sign in with a password or a one-time email link ("magic link"). You are responsible for maintaining access to the email address associated with your account.

5. The Services

We provision a dedicated website and supporting infrastructure for you, typically within a few minutes of launch. At launch, your site goes live as a branded "coming-soon" page; the full site (including MLS resale listings) becomes available once your data agreements are approved (see Section 8).

We may update, improve, or modify the Services over time. Some features depend on third-party services and may change or become unavailable.

The Services are provided on a software-as-a-service basis; we host and maintain the underlying infrastructure.

6. Subscriptions, billing, and trials

Plans and pricing

Access to the Services requires a paid subscription after any trial period. Current plans and prices are shown at sign-up and may be offered as time-limited founders pricing.

Free trial

We may offer a free trial. Unless you cancel before the trial ends, your subscription will begin and your payment method will be charged the applicable fee.

Payment

Billing is handled by our payment processor, Stripe. By providing a payment method, you authorize us and Stripe to charge the recurring subscription fee and any applicable taxes until you cancel.

Renewal and cancellation

Subscriptions renew automatically for successive periods (for example, monthly) at the then-current rate unless cancelled. You may cancel at any time from your dashboard or by contacting us; cancellation takes effect at the end of the current billing period.

Refunds, price changes, and taxes

Except where required by law, fees are non-refundable and partial periods are not pro-rated. We may change prices on a prospective basis with reasonable notice; founders pricing, where offered, is subject to the specific terms communicated at sign-up. Fees are exclusive of taxes, and you are responsible for applicable taxes other than taxes on our income.

7. Your content and data

"Your Content" means the information, text, images, listings, branding, and other materials you upload, create, or collect through the Services, including data about your clients, leads, and contacts ("Contact Data").

You retain ownership of Your Content. You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely to provide and improve the Services and as described in our Privacy Policy.

You are responsible for Your Content and for having all rights and consents necessary to provide it, including consent to collect and use Contact Data and to send communications to your contacts (see Section 9).

You are responsible for maintaining your own backups where appropriate. While we maintain reasonable measures to protect data, you should not rely on the Services as your sole record of important information.

8. MLS and real-estate listing data

Displaying MLS resale, sold, or rental listings requires you to enter into the applicable data agreements (such as IDX, VOW, and DLA) directly with your real-estate board (for example, TRREB) and to designate Red Bricks as your technology provider/vendor where required.

You represent that you are entitled to display the listing data made available through the Services and that your use complies with your board's rules, your brokerage's policies, and applicable law.

Listing data is provided by third parties and may be subject to delays, errors, or restrictions. We do not warrant its accuracy or completeness and are not responsible for board decisions affecting your access.

We may suspend, restrict, or remove listing data or features if required by a board, data provider, or law, or if your agreements lapse or are rejected (for example, due to a vendor conflict on an existing agreement).

9. Email and communications

The Services let you send email and other communications to your contacts. You are solely responsible for those communications, including obtaining any required consent and complying with anti-spam and privacy laws (such as Canada's Anti-Spam Legislation (CASL) and similar laws).

You must not use the Services to send spam or unlawful, deceptive, or harassing communications. We may throttle, suspend, or disable sending to protect deliverability and platform integrity, including in response to high bounce or complaint rates.

We may send you service, security, and administrative messages related to your account.

10. Acceptable use

You agree not to:

  • Use the Services for any unlawful, infringing, deceptive, or harmful purpose.
  • Upload malware or attempt to gain unauthorized access to the Services, other accounts, or our systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, resell, or sublicense the Services except as expressly permitted.
  • Misrepresent your identity, affiliation, or licensing status.
  • Violate the rules of any real-estate board or the rights of any third party.

We may investigate and take appropriate action, including removing content and suspending accounts, for any violation.

11. Domains

You can launch on a free Red Bricks URL (a temporary address on our domain) and connect your own custom domain at any time. The free URL stays available until you connect a custom domain; you can switch before or after launch.

If you connect a custom domain, you are responsible for owning or controlling it and for configuring DNS as instructed. We are not responsible for downtime or issues caused by domain registrars, DNS misconfiguration, or expired domains.

12. Third-party services

The Services rely on third-party providers (for example, hosting, payments, email delivery, DNS, real-estate data, and AI features). Your use may be subject to those providers' terms, and we are not responsible for their acts or omissions.

AI-assisted features may produce inaccurate or incomplete output. You are responsible for reviewing AI output before relying on or acting on it.

13. Intellectual property

We and our licensors own all rights in the Services, including the software, design, and Red Bricks trademarks. Except for the limited right to use the Services under these Terms, no rights are granted to you.

You may not use our trademarks without our prior written consent.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction.

14. Suspension and termination

You may stop using the Services and cancel your subscription at any time.

We may suspend or terminate your access if you breach these Terms, fail to pay, create risk or legal exposure, or where required by a third party or law. Where practical, we will provide notice.

On termination, your right to use the Services ends, and we may delete your data after a reasonable period in accordance with our Privacy Policy. Provisions that by their nature should survive (for example, payment obligations, disclaimers, limitations of liability, indemnification, and governing law) will survive.

15. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that listing or other data will be accurate or available. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

16. Limitation of liability

To the maximum extent permitted by law, Red Bricks will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Services.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the three (3) months before the event giving rise to the liability, or (b) CAD $100.

These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

17. Indemnification

You will defend, indemnify, and hold harmless Red Bricks and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your Contact Data and communications, your use of the Services, your violation of these Terms, or your violation of any law or third-party right (including real-estate board rules).

18. Changes to the Services or these Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in the dashboard) and update the "Last updated" date. Your continued use after the changes take effect constitutes acceptance.

We may add, change, or discontinue features of the Services.

19. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for any dispute not subject to a different mandatory process, and you waive any objection to venue there.
